1. AGREEMENT TO TERMS

These Terms of Service ("Terms") constitute a legally binding agreement between you, whether personally or on behalf of an entity ("you"), and CYBERBYET PTE. LTD. ("Company", "we", "us", or "our"), concerning your access to and use of the www.mimicpc.com website, as well as any other media form, media channel, mobile website, or mobile application related, linked, or otherwise connected to it (collectively, the "Site"). We are registered in 987 Serangoon Road, Singapore.

By accessing and using the MimicPC website and services, you agree to be bound by these Terms of Service. If you do not agree, you must discontinue use immediately. MimicPC reserves the right to modify these terms at any time, and your continued use of the website signifies your acceptance of any changes.

2. PLATFORM CAPABILITIES AND CONTENT RESTRICTIONS

2.1 Platform Services

MimicPC integrates the latest open-source and closed-source models from GitHub, Hugging Face, and renowned AI service providers. Our platform offers comprehensive capabilities including text generation, image creation, video production, and other AI-powered features designed to unleash your creativity in game design, e-commerce development, and advertising material creation.

2.2 Content Safety and Compliance

We are committed to maintaining a safe and healthy environment for all users. To ensure the legality and compliance of platform content, MimicPC strictly prohibits the publication and distribution of any NSFW (Not Safe For Work) content on our platform. This includes but is not limited to:

• Adult or sexually explicit content

• Graphic violence or disturbing imagery

• Content that promotes illegal activities

• Harassment, hate speech, or discriminatory material

• Any content that violates applicable laws or regulations

2.3 Content Moderation

MimicPC reserves the right to monitor, review, and remove any content that violates these restrictions. Users who repeatedly violate these content policies may face account suspension or termination without refund.

3. INTELLECTUAL PROPERTY RIGHTS

3.1 Platform Intellectual Property

All content, including but not limited to text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, and software, on the MimicPC website and platform is the exclusive property of MimicPC, its affiliates, or its content suppliers and is protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

3.2 MimicPC Trademarks and Service Marks

The MimicPC name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of MimicPC or its affiliates or licensors. You must not use such marks without our prior written permission. All other names, logos, product and service names, designs, and slogans on this website are the trademarks of their respective owners.

3.3 User-Generated Content Rights

Users retain all rights, title, and interest in and to any content they create, upload, or share through our services ("User Content"). However, by submitting such content, you grant MimicPC a non-exclusive, royalty-free, worldwide, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content in connection with the service and MimicPC's business operations.

3.4 AI-Generated Content Rights

Content generated through MimicPC's AI models and tools ("AI-Generated Content") is subject to the following:

• You retain ownership rights to AI-Generated Content that you create using our services

• MimicPC claims no ownership over AI-Generated Content created by users

• However, you acknowledge that similar or identical content may be generated by other users using the same or similar inputs

• You are responsible for ensuring that your use of AI-Generated Content complies with applicable laws and does not infringe third-party rights

3.5 Third-Party Intellectual Property

MimicPC respects the intellectual property rights of others. If you believe that any content on our platform infringes your intellectual property rights, please contact us immediately at support@mimicpc.com with:

• A description of the copyrighted work or intellectual property that you claim has been infringed

• A description of where the material that you claim is infringing is located on the site

• Your contact information

• A statement that you have a good faith belief that the use is not authorized by the copyright owner

• A statement made under penalty of perjury that the information you provide is accurate

3.6 License Restrictions

Except as expressly permitted in these Terms, you may not:

• Copy, modify, distribute, sell, or lease any part of our services or included software

• Reverse engineer or attempt to extract the source code of our software

• Use our intellectual property for commercial purposes without explicit written permission

• Remove, alter, or obscure any proprietary notices on our platform or services

4. RETURN POLICY

4.1 General Return Policy

Due to the digital nature of our services and the immediate delivery of AI-generated content, all sales are generally final. However, MimicPC provides limited return options under specific circumstances outlined below.

4.2 Refund Eligibility

You may be eligible for a refund under the following conditions:

• Technical Failure: If our platform experiences technical issues that prevent you from accessing purchased services for more than 48 consecutive hours

• Billing Error: If you were charged incorrectly due to a system error or duplicate transaction

• Service Not as Described: If the purchased service significantly differs from its description on our platform. MimicPC is committed to accurately presenting the functionality of each service offered on our platform. We recognize that both open-source and closed-source AIGC (AI-Generated Content) products require users to have a certain level of learning capability and technical understanding. If you believe that your actual experience does not match the service description, you must contact our customer service team within 72 hours of your first use with specific explanations of the discrepancies and supporting screenshots or documentation. Our team will assess your claim based on the following criteria:

(1) whether there are obvious misleading statements or significant information omissions in our service description;

(2) whether the user has reasonably understood the scope and limitations of the service as described; and

(3) whether there are substantial differences in key functionalities between what was described and what was delivered.

Refund requests based on subjective expectations that exceed stated service capabilities or failure to read service documentation will not be supported.

• Unused Subscription: Refunds for subscription services may be considered within 7 days of purchase if no services have been used

4.3 Non-Refundable Items

The following are not eligible for refunds:

• Used credits or consumed computing resources

• AI-generated content that has been successfully created and delivered

• Services used beyond the trial or evaluation period

• Subscriptions that have been actively used for more than 7 days

• LTD (Lifetime Deal) purchases after 30 days from purchase date

• Custom or personalized services that have been completed

4.4 Refund Process

To request a refund:

• Contact our support team at support@mimicpc.com within 30 days of purchase (or within 72 hours for "Service Not as Described" claims)

• Provide your transaction ID, account information, and reason for the refund request

• Include supporting documentation if applicable (screenshots, error messages, etc.)

• Allow 5-10 business days for review of your request

4.5 Refund Timeline

Approved refunds will be processed within 10-15 business days and will be credited back to your original payment method. Processing times may vary depending on your bank or payment provider.

4.6 Partial Refunds

In certain circumstances, MimicPC may offer partial refunds based on:

• Usage of services prior to refund request

• Time elapsed since purchase

• Specific terms of promotional offers or discounts applied

4.7 Dispute Resolution for Returns

If you disagree with our refund decision, you may escalate the matter through our customer service management team. MimicPC reserves the right of final interpretation regarding all service description disputes.

5. USER OBLIGATIONS

Users must provide accurate and up-to-date information during registration. Users must be at least 18 years old and agree to use the website in compliance with all applicable laws and regulations.

You agree to:

• Maintain the accuracy of your account information

• Use MimicPC services only for lawful purposes

• Respect the intellectual property rights of others

• Comply with all applicable laws and regulations

• Take responsibility for all activities conducted under your account

• Adhere to our content safety and compliance policies

6. ACCOUNT SECURITY

Users are responsible for maintaining the confidentiality of their account information, including their password, and for all activities that occur under their account. MimicPC reserves the right to modify or remove usernames that are deemed inappropriate or that violate these terms.

You agree to immediately notify us of any unauthorized use of your account or any other breach of security. MimicPC will not be liable for any loss or damage arising from your failure to maintain adequate security of your account credentials.

7. SUBSCRIPTION TERMS

7.1 Subscription Plans Overview

MimicPC offers various subscription plans designed to meet different user needs. Each subscription plan provides specific monthly allocations of credits and storage, with full access to all platform features and functionalities.

7.2 Subscription Types

MimicPC offers two primary subscription billing cycles to accommodate different user preferences and budget requirements:

Monthly Subscriptions

• Flexible monthly billing with no long-term commitment

• Multiple tier options with varying monthly credit and storage allocations

• Perfect for short-term projects or users who want to test our services

• Access to all platform features and models

Annual Subscriptions

• Significant savings with discounted annual rates compared to monthly pricing

• Same tier options as monthly plans with enhanced discount benefits

• Receive monthly credit allocations throughout the subscription period

• Ideal for regular users with ongoing AI needs who want to maximize savings

7.3 Credit and Resource Allocation

• Each subscription tier provides a specific monthly allocation of credits and storage space

• Credits are used for accessing various AI models and computational resources on the platform

• Monthly credit allocations are distributed at the beginning of each billing cycle

• Unused credits do not roll over to the next billing period

• All subscription tiers provide access to the complete range of platform features and models

7.4 Billing and Payment

• Subscriptions are billed in advance according to your selected billing cycle (monthly or annually)

• Monthly plans are charged on the same date each month from your initial subscription

• Annual plans are charged once per year on your subscription anniversary date

• Payment is due immediately upon subscription activation and at the beginning of each billing period

• All subscription fees are non-refundable except as specified in our Return Policy

• Failed payments may result in immediate service suspension and account restrictions

7.5 Automatic Renewal

• Unless canceled before the renewal date, subscriptions automatically renew for successive periods equal to your original subscription term

• You will be charged the then-current subscription rate unless you have a locked-in promotional rate

• Renewal notices will be sent to your registered email address at least 7 days before renewal

• You may cancel auto-renewal at any time through your account settings

7.6 Subscription Modifications

Upgrades

• You may upgrade your subscription plan at any time

• Choose between immediate activation or activation at the start of your next billing cycle

• Immediate upgrades will be prorated based on your current billing cycle

• For immediate upgrades, you will only pay the difference for the remaining period

Downgrades

• Direct downgrades are not supported during the current subscription period

• To access a lower-tier plan, you must first cancel your current subscription

• After cancellation, you may purchase a new lower-tier subscription

• This ensures fair usage of allocated resources and maintains service integrity

Plan Changes

• Monthly subscribers can switch to annual plans at any time

• Annual subscribers must wait until their current annual term expires to change billing cycles

• All subscription changes can be made through your account dashboard or by contacting customer support

7.7 Usage Limits and Overages

• Each subscription plan includes specific monthly allocations for credits and storage

• Usage that exceeds your credit allocation will require additional credit purchases or plan upgrades

• Storage limits are enforced, and additional storage may be available for purchase

• Fair usage policies apply to prevent abuse of unlimited features

7.8 Service Level Commitments

• All subscription tiers receive the same high-quality service and platform access

• Processing priority may vary during peak usage periods

• We strive to maintain optimal platform performance and availability for all subscribers

• Service level details and uptime targets are updated on our status page

7.9 LTD (Lifetime Deal) Subscriptions

LTD subscriptions are special promotional offerings available through various sales platforms with the following terms:

Platform-Specific Terms

• LTD deals are offered through different sales platforms (such as AppSumo, PitchGround, etc.)

• Pricing and benefits may vary between different sales platforms based on their specific promotional agreements

• Each user account can only activate one LTD code from any single platform

• LTD codes purchased from different platforms cannot be combined or used interchangeably

• Cross-platform LTD code sharing or transfer is not supported

Service Scope and Limitations

• LTD subscriptions provide access exclusively to open-source models and applications available on the platform

• Closed-source models require separate billing and are not included in LTD benefits

• LTD users must purchase additional credits or maintain separate subscriptions to access closed-source models

• This limitation exists because closed-source models require direct payment to third-party model providers

Usage and Fair Play

• LTD subscriptions provide ongoing monthly credit and storage allocations as specified in the respective deal terms

• Include access to all current open-source features and models on the platform

• Subject to fair usage policies to prevent abuse and ensure platform stability

• Excessive usage that impacts platform performance may result in service limitations

Modifications and Restrictions

• LTD subscriptions may not include certain future premium features or major platform enhancements

• Cannot be transferred, resold, or shared with other users

• MimicPC reserves the right to modify LTD terms if usage violates fair usage policies

• Changes to LTD terms will be communicated with reasonable advance notice

Account Management

• LTD activation is permanent and cannot be reversed once completed

• Users are responsible for activating their LTD codes within the specified time frame provided by the sales platform

• Support for LTD-related issues may require coordination with the original sales platform

7.10 Subscription Suspension and Termination

MimicPC may suspend or terminate your subscription for:

• Non-payment or failed payment processing

• Violation of terms of service or acceptable use policies

• Fraudulent activity or abuse of service

• Excessive usage that impacts platform stability

7.11 Data Retention Upon Subscription End

• Account data and generated content will be retained for 30 days after subscription cancellation

• After 30 days, all data may be permanently deleted

• Users are responsible for backing up important data before cancellation

• Important files and projects should be downloaded or exported before subscription termination

8. PAYMENT TERMS

8.1 Free Credits and Trial Benefits

All new users receive a welcome bonus of $0.50 USD in free credits upon successful account registration. These credits provide immediate access to explore MimicPC's open-source AI applications and services without any upfront payment.

Free Credit Terms:

• Credits are automatically added to your account within 24 hours of registration

• Valid exclusively for open-source model usage and core platform features

• Cannot be used for closed-source models or premium services

• Credits expire 30 days after account creation if unused

• One-time offer per user - creating multiple accounts to obtain additional free credits violates our terms

• Once free credits are exhausted, users must purchase a subscription or add funds to continue using paid services

8.2 Payment Methods

Users can pay for MimicPC services using the following accepted payment methods:

• PayPal

• Credit Cards (Visa, MasterCard, American Express)

Users agree to ensure their payment information is current and accurate. Failure to maintain valid payment information may result in service disruption.

8.3 Price Changes

MimicPC reserves the right to change its prices at any time. We will provide at least 30 days advance notice of any price changes for existing subscribers. Your continued use of our services after price changes take effect constitutes your agreement to pay the modified prices.

8.4 Taxes and Additional Fees

• All prices are exclusive of applicable taxes, duties, and fees

• You are responsible for all applicable taxes based on your billing address

• Additional processing fees may apply for certain payment methods

• Currency conversion fees may apply for international transactions

9. GPU RESOURCES AND USER RESPONSIBILITY

8.1 Resource Selection

When training models, generating high-definition images, videos, or engaging in other activities that consume high-performance GPU resources, users are responsible for selecting appropriate GPU specifications for their tasks.

8.2 Resource Allocation Risks

Any losses resulting from user-selected inadequate GPU performance that leads to generation failures will be borne solely by the user. MimicPC is not responsible for refunding credits consumed in failed operations due to improper resource selection.

8.3 Runtime Management

Users are solely responsible for setting appropriate runtime durations for their operations. Any losses resulting from insufficient runtime settings (causing premature termination) or excessive runtime settings (causing unnecessary resource consumption and charges) will be the user's responsibility.

10. CANCELLATION POLICY

You may cancel your subscription or account at any time by logging into your account settings or contacting customer support. Upon cancellation:

• Access to paid features will continue until the end of the current billing period

• No refunds will be provided for the current billing period unless eligible under our Return Policy

• Any remaining credits in your account will not be refunded

• Your account data may be retained according to our data retention policies

11. PROHIBITED CONDUCT

Users must not engage in any activities that misuse the website, harass other users, or violate any laws. Such prohibited activities include, but are not limited to:

• Spamming, phishing, or engaging in deceptive practices

• Attempting to gain unauthorized access to other users' accounts or MimicPC systems

• Using MimicPC services to develop or distribute malware

• Uploading content that infringes intellectual property rights

• Using MimicPC services to conduct illegal activities

• Automated scraping of the website without express permission

• Creating multiple accounts to circumvent usage limitations or free credit policies

• Publishing or distributing NSFW content or any content that violates our content safety policies

MimicPC reserves the right to terminate accounts and take legal action against violators.

12. USER CONTRIBUTIONS

Users may submit content to the website, provided that it is lawful and does not infringe on the rights of others. By submitting content, users grant MimicPC a non-exclusive, royalty-free, worldwide license to use, modify, and display the content in accordance with MimicPC's policies.

You retain all rights to your content but are solely responsible for all content you post, upload, or share through our services. All user contributions must comply with our content safety and compliance policies outlined in Section 2.

13. THIRD-PARTY LINKS

We do not endorse or assume any responsibility for any third-party products, services, websites, or content.

13.2 Performance Disclaimer

We do not guarantee that:

• The services will meet your specific requirements

• The services will be uninterrupted, timely, secure, or error-free

• Results obtained from using the services will be accurate or reliable

• Any errors in the software will be corrected

13.3 GPU and Resource Disclaimer

MimicPC makes no guarantees regarding the availability of specific GPU types or computing resources at all times. Resource availability may fluctuate based on demand.

13.4 Model Performance Disclaimer

MimicPC does not warrant or guarantee the accuracy, quality, or appropriateness of outputs generated by any AI models available through our platform, whether open-source or proprietary.

13.5 Limitation of Liability

MimicPC is not liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages arising from the use of the website or services, including but not limited to:

• Loss of profits, goodwill, use, data, or other intangible losses

• Costs of substitute goods or services

• Business interruption

• Personal injury or property damage

• Inaccurate results or outputs from AI models

• Data loss or security breaches

• Failed operations due to resource selection or runtime configuration

The total liability of MimicPC, whether in contract, warranty, tort, or any other legal theory, shall not exceed the amount you paid to MimicPC over the past three months.

15. INDEMNIFICATION

Users agree to indemnify and hold harmless MimicPC, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the website or services

• Your violation of these Terms

• Your content or submissions

• Your violation of any rights of another party

• Your violation of content safety and compliance policies

16. ELECTRONIC COMMUNICATIONS

These Terms shall be governed by the laws of Singapore without regard to its conflict of law provisions.
